THE ROLE
Versaterm has an immediate opening for a Corporate Counsel to join their Ottawa office. The Corporate Counsel will assist with legal matters within the company, and act as a trusted legal advisor on strategy, legal risk and opportunities, and policies and practices.
PRIMARY ACCOUNTABILITIES
Along with the Contracts Manager, the Corporate Counsel’s primary responsibility will be to centralize in-house legal services for Versaterm and the Versaterm Public Safety Companies group, as well as any future mergers or acquisitions.
The Corporate Counsel will take on a broad range of additional responsibilities including:

Negotiating and drafting commercial agreements, such as licensing agreements, sourcing and procurement agreements, partnership and vendor agreements, NDAs, and terms of use;

Anticipating and identifying legal issues and counsels staff and management in order to develop legal strategies and solutions;

Providing guidance to staff on the legal and other risks associated with the development, operation, and implementation of technology systems and innovations, and working collaboratively with managers to develop practical solutions to address those risks;

Managing intellectual property;

Researching and advising on a variety of areas of law including, intellectual property, labor, and employment, compliance, corporate governance, and business policy;

Serving as Articling Principal; and
-
Liaising with external counsel as necessary.
QUALIFICATION | ROLE-SPECIFIC COMPETENCIES

LL. B. or J.D. degree.

Good standing with the Law Society of Ontario.

Ability to meet the eligibility criteria of the Law Society of Ontario, and willingness to become, an Articling Principal (As described here: https://lso.ca/becoming-licensed/lawyer-licensing-process/articling-principals/becoming-a-principal).

At least 5 years of experience drafting and negotiating transactional documents in the technology space, including purchase and sale agreements, license agreements, Software as a Service and Cloud agreements, commercial agreements, master services agreements, non-disclosure and confidentiality agreements, novation and assignment agreements, terms of use, letters of intent, and MOUs.

Experience working in an in-house environment, preferably with a technology provider.

Knowledge of and/or advice on privacy, cyber security, and confidentiality matters.

Experience and understanding of mergers and acquisitions and the centralization of the legal function.

Experience working with government bodies and public safety agencies.

Experience translating legal concepts and requirements into actionable, practical guidance for business teams.

Responsive and client-service focused.

Willingness to learn and master new areas of law.

Excellent verbal and written communication skills in English; French bilingualism is a plus.
